This AmLaw 50 firm’s Technology Transactions Practice Group is seeking an Associate Attorney in San Francisco to handle IP and commercial technology transactions for global clients.

Ideal candidate has 3–6 years of IP and tech transactions experience, a JD from a top-tier law school, and California bar admission. The role offers dynamic, fast-paced high-stakes matters and partnership-track opportunities.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• California Bar in good standing; active admission.
• 3–6 years of IP and commercial transactions in a law firm.
• Experience structuring, drafting, negotiating IP and technology agreements.
• IP aspects of mergers and acquisitions and equity financing.
• Interest or experience with artificial intelligence advantageous.
• Technical background preferred; science degree or tech experience.

Responsibilities

• Draft, review, and negotiate technology and IP agreements including licensing, development, services, distribution, manufacturing, and collaborations.
• Provide IP diligence and strategic counseling in M&A, equity financing, e-commerce, media, and entertainment.
• Collaborate with corporate, litigation, and regulatory teams on IP risks and strategy.
• Advise clients on structuring commercial transactions aligned with evolving tech trends.
• Work directly with clients to understand objectives and craft tailored legal solutions.
• Contribute to team development and client growth initiatives.

Candidate Profile

• JDfrom atop-tier law schoolwith anexcellent academic record.
  • Coursework in IP, technology, and/or commercial law is required.
• Active Bar Admissionin California, in good standing.
• 3–6 years of substantive experience withintellectual property(IP) andcommercial transactionsin alaw firm setting.
• Demonstrated experience structuring,drafting, andnegotiatingcomplexIP and technology-related agreements, including licensing, development, services, distribution, and strategic partnerships.
• Experience handling the IP aspects ofmergers and acquisitions(M&A) andequity financing transactions.
• Interest in, or experience with, artificial intelligence is advantageous.
• Technicalbackground strongly preferred.
  • Science Degree or experience working with technology (Computer Science, Computer Programming, Engineering, etc.)
• Ability to manage multiple deal streams in a fast-paced environment.

Compensation & Benefits

• Competitive Salary: $260,000 – $365,000, commensurate with experience and class year.
