Grellas Shah LLP is a founder-focused law firm supporting emerging ventures, middle-market businesses, and entrepreneurs. We are hiring a Mid-Level/Senior Tech Commercial Transactions Associate for a fully remote US role, encouraging ownership, independence, and direct client relationships from day one.

You will draft and negotiate complex tech agreements, oversee IP diligence, and advise on important legal tradeoffs in a fast-paced environment.

Qualifications

• Demonstrated law firm experience in Tech Transactions, IP, or Commercial Contracts.
• Deep practical knowledge of tech commercial transactions, IP protection, and licensing.
• Active member in good standing of the state bar in the jurisdiction where you reside (California bar license not required).

Responsibilities

• Take ownership of client relationships and guide founders and executives through critical commercial transactions.
• Draft, review, and negotiate MSAs, terms of service, NDAs, data privacy agreements, and IP licenses.
• Navigate IP diligence and review M&A or financing IP representations.
• Collaborate with clients to solve structural business problems and advise on essential legal tradeoffs.

Mid-Level/Senior Tech Commercial Transactions Associate

Role Overview

To support our growing caseload, we are bringing on a Mid-Level/Senior Tech Commercial Transactions Associate. This is a fully remote role open to candidates anywhere in the United States. In this position, you will step into a high-trust environment where you are expected to take ownership, work independently, and manage direct client relationships from day one.

Responsibilities

• Take immediate ownership of client relationships, independently guiding founders and executives through critical commercial transactions.
• Draft, review, and strategically negotiate a variety of complex agreements, including MSAs, terms of service, NDAs, data privacy agreements, and IP licenses.
• Navigate IP diligence and review M&A or financing IP representations.
• Collaborate with clients to solve structural business problems and advise on essential legal tradeoffs.

Required Qualifications

• Demonstrated law firm experience in a Tech Transactions, IP, or Commercial Contracts practice group.
• Deep practical knowledge of tech commercial transactions, IP protection, and licensing.
• Juris Doctor (JD) degree from an accredited law school.
• Active member in good standing of the state bar in the jurisdiction where you reside and practice (a California bar license is not required).

Prefered Qualifications

• Applied experience handling data privacy matters.
• Prior background in inside sales, purchasing, or related fields.
