Make an impact

As Tax Counsel, you will play a critical role in supporting the Real Estate platform by providing practical tax guidance across complex real estate transactions, fund formations, and investment structures. Reporting to the General Counsel, you will partner closely with investment, asset management, legal, and tax colleagues to evaluate tax considerations, help structure transactions, and support efficient outcomes across acquisitions, dispositions, refinancings, recapitalizations, and fund initiatives. The ideal candidate is an experienced real estate tax attorney who thrives in a collaborative yet independent environment and can provide practical, business-focused advice on sophisticated tax matters.

What you will do
  • Advise investment and asset management teams on federal, state, local, and cross-border tax considerations arising in real estate acquisitions, dispositions, refinancings, recapitalizations, and other investment activities.
  • Support the design and maintenance of tax-efficient real estate structures, including REIT, partnership, and joint venture structures, while monitoring ongoing REIT qualification requirements.
  • Partner with fund formation counsel and capital raising teams on new fund launches, side letters, subscription documents, and structuring for taxable, tax-exempt (UBTI), and non‑U.S. investors (ECI, FIRPTA, and Section 892 considerations).
  • Review, draft, and negotiate tax provisions in purchase and sale agreements, joint venture and partnership agreements, financing documents, and other transaction-related agreements, including allocations under Sections 704(b) and 704(c), tax distributions, and tax indemnities.
  • Support tax due diligence efforts for prospective investments by coordinating with external tax counsel, accounting advisors, and internal stakeholders.
  • Monitor evolving tax legislation, Treasury regulations, and state and local tax developments to evaluate impacts on existing and future investments and structures.
  • Translate complex tax concepts into clear, actionable guidance for investment professionals, business leaders, and other non-tax stakeholders.
  • Manage relationships with outside tax counsel and advisors, overseeing project scope, budgets, timelines, and quality of deliverables.
  • Serve as a trusted tax advisor across the organization, providing independent judgment and strategic recommendations on complex real estate matters.
What you should bring
  • J.D. from an accredited law school and admission to (or eligibility for admission to) the Utah bar.
  • 5+ years of relevant tax experience with a focus on real estate transactions, investment structures, and fund formation gained at a nationally recognized law firm, a Big Four real estate tax practice, or in-house within a real estate investment manager, REIT, or alternative asset manager.
  • Experience advising complex real estate transactions, including acquisitions, dispositions, joint ventures, partnerships, financing structures, and investor-related tax matters.
  • Working knowledge of REITs, partnerships, FIRPTA, and the tax considerations impacting domestic and international investors in U.S. real estate.
  • Ability to independently manage complex matters, prioritize competing demands, and provide practical guidance to business stakeholders.
What you can be part of

Join a high-impact legal team supporting a growing real estate platform in alternative asset management. As Tax Counsel, you will work at the intersection of law, tax, and investment strategy and will see a broad range of transactions and fund structures.
