Job summary

Alvarez & Marsal in Houston, TX seeks a Director of Corporate Transaction Tax & Advisory to lead complex M&A tax engagements and guide clients through global deals. You will apply sophisticated tax concepts, model strategies, and partner with financing, accounting, and legal teams to optimize outcomes.

Qualifications

• At least 7 years of mergers & acquisitions tax experience at a Big 4, Big Law, or similar firm.
• Knowledge of accounting and financial reporting.
• Strong understanding of the consolidated return regulations, tax-free reorganization provisions and cross-border tax planning considerations.
• Strong writing, analytical, research, and organizational skills.
• Ability to work in a dynamic, time-sensitive environment.

Responsibilities

• Demonstrate an understanding of increasingly complex tax concepts and effectively apply tax knowledge to client situations.
• Develop and deliver quality tax planning approaches with timely and responsive services and work product that meets and/or exceeds client expectations.
• Perform due diligence including review of tax returns, financials, and other tax documentation to evaluate potential tax risks and opportunities.
• Plan and execute post-merger integration strategies.
• Develop and deliver complex tax models, tax benefit analysis, and stock basis calculations.
• Review and comment on tax aspects of purchase agreements.
• Coordinate with state and local and international tax team members, as well as financial and operational due diligence team members; and
• Develop and maintain client relationships.
