Job summary

Cardone Ventures, based in Scottsdale, AZ, seeks a Deputy General Counsel to lead M&A execution, rollup structuring, fund formation, and Reg D/SEC compliance across the Cardone Equity Group platforms. You will partner with senior leadership to evaluate, negotiate, and close investment transactions with velocity aligned to business needs.

You will drive standardized templates, manage outside counsel, and leverage AI for diligence and issue flagging.

Qualifications

• Juris Doctor from an accredited law school with strong academic record.
• Active bar membership in good standing; Arizona bar or ability to register within 90 days.
• 10–15 years in M&A, private equity, fund formation, and corporate finance.
• In-house or BigLaw M&A experience is strongly preferred.
• Experience with RegD/506(c) offerings and SEC compliance.
• Experience supervising paralegals or junior attorneys.

Responsibilities

• Drive deal process, diligence, and negotiations with outside counsel.
• Structure and close investments with rollups and fund documents.
• Develop standardized transaction templates and diligence workflows.
• Coordinate Reg D/506(c) compliance and investor governance.
• Manage outside counsel budgets and ensure regulatory compliance.
