Job summary

The ideal candidate will have strong legal writing and communication skills, plus the ability to manage complex transactions. Portable client base is optional; partnership-track opportunities are available for qualified candidates.

Qualifications

• J.D. from an accredited law school.
• Active license to practice law in Indiana.
• Minimum of five (5) years of experience in corporate transactions and mergers and acquisitions.
• Demonstrated experience managing sophisticated business transactions from inception through closing.
• Outstanding legal research, analytical, and problem-solving abilities.
• Superior writing, drafting, and contract negotiation skills.
• Excellent verbal and interpersonal communication skills.
• Ability to work effectively under pressure, manage multiple priorities, and meet challenging deadlines.
• Strong attention to detail and commitment to delivering exceptional client service.
• Existing book of business is welcomed but not required.

Responsibilities

• Represent businesses, owners, and other stakeholders in mergers, acquisitions, divestitures, and other business transactions.
• Draft, review, and negotiate purchase agreements, operating agreements, shareholder agreements, and other commercial contracts.
• Conduct and manage legal due diligence and transaction closings.
• Provide ongoing counsel regarding corporate governance, organizational structure, and succession planning.
• Advise clients on day-to-day business matters.
• Collaborate with attorneys across multiple practice areas to deliver comprehensive legal solutions.
• Develop and maintain strong client relationships through responsive and practical legal counsel.
• Participate in business development and networking activities to support the growth of the firm.
