Job summary

UnitedHealth Group is seeking a Senior Project Manager, Governance to support subsidiary legal entity management, public company governance, and strategic initiatives for the Office of the Corporate Secretary. This role will primarily draft and manage the legal documentation required for internal mergers and legal entity restructuring.

The office-based position requires collaboration across Legal, Finance, and Investor Relations and features four in-office days per week.

Qualifications

• 7+ years of paralegal, corporate governance, or legal operations experience.
• Experience drafting corporate legal documents (e.g., mergers, resolutions, governance materials).
• Solid knowledge of corporate governance frameworks and legal entity structures.
• Proven ability to manage complex workstreams with high attention to detail.

Responsibilities

• Draft and manage subsidiary legal documentation including internal mergers and restructurings.
• Prepare board, shareholder, and officer actions.
• Support board and committee processes, including governance documents and disclosures.
• Coordinate governance initiatives and executive deliverables.
• Identify and mitigate governance-related risks and ensure audit-ready documentation.
