UB Greensfelder is seeking mid-level associate attorneys to join the growing Corporate/M&A Practice Group, working in our St. Louis offices. Law license in the location of office will be a requirement.

Qualifications

• 3+ years of Corporate/M&A experience negotiating and drafting primary and ancillary documents for mergers, acquisitions, divestitures, joint ventures, loan transactions and other corporate transactions.
• Broad knowledge of general corporate law, as well as transaction and entity structuring and related tax matters.
• Experience leading M&A due diligence for both targets and acquirers, transaction and entity structuring, and related tax matters.
• Superior communication skills, both written and verbal are required.
• Excellent analytical/problem solving skills and attention to detail.
• Outstanding organizational and time management skills with ability to meet deadlines in fast-paced environment.

Responsibilities

• Assist in Corporate/M&A transactions for the firm’s clients.
• Draft and negotiate primary and ancillary M&A documents.
• Lead or assist with due diligence efforts for targets and acquisitions.
• Collaborate with cross-disciplinary teams to manage transactions and deadlines.
• Provide clear, concise, and timely communications to clients and internal teams.
