This role will work closely with senior management and cross-functional teams including Finance, Accounting, Investor Relations and Human Resources.**KEY RESPONSIBILITIES*** Support public company governance and securities law compliance, including preparation and filing of SEC reports (Forms 10-K, 10-Q, and 8-K).* Assist with the preparation of board and committee materials.* Prepare, review, and advise on Section 16 filings and disclosure requirements.* Support finance and capital markets transactions, including debt financings, working capital facilities, and derivative transactions.* Provide legal support to Investor Relations, including review of press releases, investor presentations, proxy statements, and other stockholder meeting materials.* Participate in the development of corporate policies and programs required for a public company, including preparation, implementation and refinement of forms and processes.* Promote high ethical standards and advise on compliance with laws, regulations, and company policies.* Manage and coordinate outside counsel as needed.**EDUCATION, SKILLS, EXPERIENCE, & COMPETENCIES****Basic Requirements:*** Juris Doctor (JD) degree and active license to practice law in the U.S.* Minimum 5+ years of legal experience at a law firm or in-house advising public companies.* Experience advising clients in securities law and SEC reporting and compliance matters.* Experience with capital markets and corporate finance transactions.
