Job description

Dave is seeking a talented technology transactions attorney to join our commercial legal team as Senior Corporate Counsel. You will own a broad range of responsibilities, leverage deep subject-matter expertise including with respect to artificial intelligence (AI), and employ seasoned business judgment to provide legal guidance on complex legal and strategic issues across Dave’s business functions.

What you’ll do

  • Independently draft, negotiate, review, and advise on a range of complex commercial agreements, including letters of intent, non-disclosure, master service, SaaS, partnership, marketing, professional services, agency, licensing, other agreements, and ancillary documents.

  • Provide practical, creative, and strategic legal advice on a broad range of complex issues including those that are novel and set precedent—involving AI, SaaS, data protection and privacy, security, intellectual property, corporate, employment, and other legal matters.

  • Translate strategic guidance into operational goals in line with applicable laws, regulations, and contractual obligations.

  • Lead cross-functional initiatives, anticipating current and future needs and industry trends, with high visibility and long-term impact.

  • Partner closely with business partners across the engineering, product, marketing, finance, and people teams.

  • Own Dave’s Vendor Risk Management Policy and Procedure, meeting internal risk management considerations and key stakeholder (including bank partner) expectations of vendor management risks as a publicly traded company. Continue to enhance current processes by designing, innovating, and managing end-to-end contract-driven processes in Ironclad and other scalable frameworks, to deliver measurable efficiency, analytics, and risk mitigation.

  • Effectively use AI and AI Legal tools to drive efficiency and effectiveness in all areas.

  • Create and manage contract playbooks, templates, and libraries.

  • Work with and manage outside counsel as needed.

What you’ll need

  • J.D. degree and 5+ years of law firm or in-house experience.

  • Significant experience independently drafting and negotiating complex commercial contracts, and providing practical and strategic legal advice in the areas described above.

  • Proven track record advising on complex AI-related legal issues and enterprise risk in commercial contracts, and driving AI initiatives for commercial legal process innovation.

  • Demonstrated ability to be organized, detail-oriented, self-starting, resourceful, and flexible while remaining aligned with department and company priorities.

  • Business judgment and ability to assess legal risk while providing practical advice.

  • Ability to communicate clearly and succinctly in writing and orally.

  • Ability to act as a legal advisor and partner, providing insight and advice across business units and to other internal stakeholders.

  • A team-player mindset with the ability to work collaboratively across various functions and with colleagues at all levels.

  • Enthusiasm and desire to take ownership of projects, build relationships cross-functionally and work on cutting-edge legal issues, and remain current on emerging trends to proactively operationalize recommendations.

  • Demonstrated experience developing and efficiently managing internal processes for legal operations, specifically with Ironclad.
