Under general direction from the designated VP, Deputy General Counsel, this position will work closely with attorneys, executives, business partners, operations leaders, healthcare professionals, paralegals, administrative support staff and other business functions in the organization to provide legal counsel integral to the organization's operations.

Responsibilities
  • Lead, manage and close equity transactions with coordination between executives and dental partners in various jurisdictions.
  • Structure complex transactions in accordance with applicable healthcare regulations while working closely with tax, finance and other business counterparts.
  • Lead structuring, negotiations, drafting and advising for new business strategies, acquisitions, investments.
  • Draft, negotiate, manage and advise business teams with respect to complex stock and asset agreements, joint venture agreements, and services contracts including software licensing, software as a service agreement, work orders, outsourcing arrangements, strategic alliances, vendor agreements and renewals, non-disclosure agreements, provider agreements, insurance contracts and other commercial agreements.
  • Draft and manage employee stock incentive program documentation, corporate resolutions, securities offerings and other corporate governance documentation.
  • Provide legal guidance on refinancing and financing transactions, including credit agreements.
  • Manage various legal projects to successful completion. This includes large multiple transaction initiatives and implementation of broad new legal structures for the organization.
  • Ability to analyze and guide the organization on regulations related to dentistry and healthcare.
  • Handle confidential information with the highest degree of care.
  • Effectively interact and communicate with the organization’s management, including executives, other internal clients and outside counsel.
  • Other duties as assigned by management.
  • Ability and willingness to work in person in Irvine, CA.
Qualifications
  • J.D. degree from an ABA accredited law school with bar admission and strong academic record.
  • 10+ years of combined large law firm and in-house experience in a sophisticated corporate setting.
  • Significant experience with corporate and transactional matters, corporate governance and commercial transactions.
  • Significant experience in drafting and reviewing corporate legal instruments.
Preferred
  • Experience working in a health care environment or analyzing health care regulations.
  • Exceptional organizational skills with an ability to manage multiple projects to meet deadlines and quality outcomes required.
  • Familiarity with Salesforce, Docusign or similar contract management lifecycle systems.
Knowledge/Skills/Abilities
  • Terrific interpersonal skills, great judgment, a can-do attitude and a hunger to learn the business.
  • Creative problem solver and practical business partner. Effective decision-maker and communicator.
  • Self-motivated and reliable individual capable of working independently as well as part of a team. Strong work ethic with ability to handle a high volume of transactions simultaneously with a “customer first” mentality.
  • Keen intellectual and analytical ability coupled with the ability to think and act confidently and with precision in a fast-paced environment.
  • Proficient understanding of or familiarity with corporate entities and partnership terminology and structure.
  • Effective prioritization skills and use time efficiently to develop realistic action plans.
  • Ability to establish rapport with employees and team members in order to create trusting relationships both within the organization and in government/regulatory agencies.
  • Display judgment by willingness to make timely and accurate recommendations based on available information. Must have the ability to exercise considerable judgment and discretion. Evidence of the practice of a high level of confidentiality.
  • Ability to prepare comprehensive reports and represent ideas clearly and concisely, both orally and in writing.

Compensation Information: $194,000.00-$262,000.00 / Annually
