What is the opportunity?

Requirements

As a Senior Associate Counsel, Americas Commercial, you will provide guidance to the Americas Sales team members, to ensure that all agreements are drafted and negotiated in accordance with company policies and legal requirements. This person will work with colleagues across the Omnissa Legal Team, and throughout the rest of the company, to understand key related issues and challenges, as well as stakeholder requirements, that impact the company’s agreements, in support of achieving the company’s strategic goals and objectives. Here is a breakdown:

  • Drafting, reviewing, and negotiating agreements with customers (including but not limited to licensing of entitlements to on-premises software and cloud-hosted services, as well as consulting and professional services and various commercial agreements), and agreements with channel partners, in coordination with the Omnissa Deal Management Team and other internal stakeholders as needed.
  • Provide legal advice and support to Deal Management and Sales Ops teams with regard to customer requests for modification to Omnissa standard terms, and deal-related questions, including but not limited to Omnissa business policies and guidelines.
  • As required, provide guidance and support to internal stakeholders on sales contract-related matters, including interpretation of contract terms, addressing customer concerns, and resolution of disputes.

What will you bring to Omnissa?

  • Juris Doctor (JD) degree from an accredited law school and active license to practice law in any United States jurisdiction.
  • Minimum 3-5 years of experience working as an attorney, negotiating software and cloud services licensing agreements, and related professional services agreements at a B2B company. United States-based in-house experience preferred but not required.
  • Excellent drafting and negotiation skills with the ability to communicate complex legal and commercial concepts clearly and concisely. Proficiency with American business English.
  • Ability to identify and mitigate legal and business risks and provide practical solutions to complex issues to support Omnissa corporate strategies.
  • Ability to work effectively in a fast-paced environment and manage multiple priorities with attention to detail.
  • Collaborative mindset with the ability to work cross-functionally and build strong relationships with internal and external stakeholders.

This role will report directly into a Senior Counsel Lead. The team culture encourages curiosity, exploration, and continuous learning.
