Job summary

Magnolia Oil & Gas invites a senior in-house or law-firm attorney to lead the negotiation and drafting of upstream land and commercial agreements in Houston. You will advise on risk and ensure compliance across onshore operations and complex transactions, supporting exploration and production activities.

The role requires JD from an accredited school and 8–10+ years in upstream oil and gas law, with strong experience in land, contract, and litigation matters.

Qualifications

• 8–10+ years of progressive legal experience in upstream oil and gas.
• Experience representing upstream oil and gas companies or as in-house counsel.
• Proficiency in oil and gas land and commercial contracts.

Responsibilities

• Negotiate and draft upstream land and commercial agreements (leases, deeds, assignments, surface agreements, rights-of-way, joint operating agreements, farmout agreements, confidentiality agreements, purchase and sale agreements).
• Advise on legal and contractual risks for onshore operations to ensure compliance.
• Participate in management of complex transactions with analysis of law and regulations.
• Draft, negotiate, interpret and advise on drilling and procurement agreements for exploration and operations.
• Advise on marketing/midstream contract interpretations and other commercial matters.
• Advise on oil and gas disputes and litigation, including contractor and landowner disputes, royalty issues, injuries, and property damage.
