Job summary

Faraday Future in California seeks a Transactions Counsel with strong M&A, investments, and strategic partnerships experience. You will structure, negotiate, and execute transactions that align with FF’s strategic goals while managing legal and business risk.

You’ll collaborate with the Head of Legal and cross-functional teams, draft and review LOIs and various agreements, oversee due diligence, and coordinate with outside counsel to advance transactions and related governance.

Qualifications

• J.D./LL.M. degree from an accredited law school and active bar membership.
• 4–7 years of experience at a leading law firm or in-house legal department.
• Strong transactional expertise, with hands-on experience structuring, drafting, negotiating, and executing M&A, investment, strategic partnership, or significant commercial transactions.

Responsibilities

• Lead legal support for M&A transactions, investments, joint ventures, and strategic partnerships, from initial structuring and due diligence through negotiation, signing, and closing.
• Advise business teams on transaction structures, key legal risks, and contractual protections, coordinating with Finance, Tax, and other teams and outside counsel.
• Draft, review, and negotiate transaction documents, including letters of intent, acquisition and investment agreements, JV and strategic partnership agreements, and related documents.
• Manage legal due diligence and coordinate reviews, addressing diligence findings and risks.
• Lead the negotiation of significant commercial agreements to support transactions and initiatives.
• Support cross-border transactions and corporate structuring with local counsel.
• Manage transaction workstreams, approvals, closing conditions, and post-closing obligations.
• Coordinate with Securities Counsel on disclosure and capital markets matters.
