Zusammenfassung

Ice Miller LLP seeks a mid to senior-level associate to join our Business practice group. Ideal candidates will have four to seven years of experience.

The ideal candidate will have experience drafting and negotiating software, SaaS, cloud services, e-commerce, and technology transaction agreements, including enterprise subscriptions, licensing, vendor onboarding, DPA, and privacy policies. JD and US work authorization required, with strong communication and analytical skills.

Qualifikationen

• J.D. from an accredited law school with strong academic credentials.
• At least five (5) years of experience practicing law in a law firm and/or in-house.
• Active law license in the state where the office is located.
• Excellent written and oral communication and business judgment.
• Ability to work independently and as part of a team.
• Permanent authorization to work in the United States.

Aufgaben

• Draft and negotiate SaaS, cloud services, software licensing, implementation, platform integration, and professional services agreements.
• Advise on e-commerce platform launches, including vendor onboarding and merchant terms.
• Handle technology/IP licensing, commercialization transactions, and strategic partnerships.
• Prepare and negotiate data processing agreements and privacy terms.
• Update templates and contracting playbooks to speed sales cycles.
• Review distribution, logistics, and other commercial agreements.
