Sonida Senior Living is a public company and a leading operator of independent living, assisted living and memory care communities for seniors across 35 states.

The Sr. Corporate Counsel, Securities and Corporate Governance will partner with the Chief Legal Officer to manage SEC reporting, disclosure controls, NYSE compliance and governance matters, while supporting communities nationwide and coordinating with Investor Relations, Finance and HR.

Qualifications

• J.D. from an accredited law school and bar admission in good standing.
• Minimum 5 years of legal experience, including 3+ years in corporate or securities law.
• Experience advising or working with public companies on SEC filings and governance.
• Strong understanding of federal securities laws, NYSE requirements, and compliance.
• Excellent writing, analytical and interpersonal skills.
• Ability to collaborate across departments in a fast-paced environment.
• Prior experience in senior living, healthcare, or regulated industries is a plus.

Responsabilités

• Prepare and review SEC filings (10-K/10-Q/8-K) with Finance.
• Support Disclosure Committee and insider trading compliance.
• Ensure NYSE listing compliance and securities laws.
• Track corporate/regulatory developments for a public company.
• Support executive compensation and equity programs.
• Prepare and review executive compensation disclosures.
• Advise on governance, securities law and disclosure matters.
• Coordinate with HR, Finance and external advisors on compensation.
• Support board materials, governance policies, and shareholder meetings.
• Draft and review vendor contracts and day-to-day governance inquiries.
• Partner with teams and outside counsel on disputes/regulatory inquiries.
