Job summary

SourcePro Search, LLC seeks a Senior Paralegal to support emerging companies and venture capital transactions in Palo Alto or San Francisco, with a hybrid work arrangement. The role covers formation, governance, financings, mergers, and exits, handling complex multi-transaction workstreams.

The ideal candidate has 5+ years in ECVC paralegal work, strong cap table and Carta experience, and a track record of independently managing multiple deals with minimal supervision.

Qualifications

• 5+ years of corporate paralegal experience with a focus on emerging companies and venture capital transactions.
• Experience supporting venture-backed startups, founders, and venture capital firms.
• Strong understanding of venture financing structures, including preferred stock, SAFEs, and convertible notes.
• Bachelor’s degree required; paralegal certification preferred.

Responsibilities

• Support startup formation, corporate governance, venture financings, mergers, restructurings, and exit transactions.
• Manage multiple venture financing transactions, including preferred stock financings, SAFEs, and convertible notes.
• Draft and coordinate transaction documents, board and stockholder consents, closing certificates, and financing agreements.
• Lead due diligence reviews and identify potential issues for attorneys.
• Manage closing checklists, execution processes, deliverables, and post-closing requirements.
• Maintain and reconcile capitalization tables, equity records, option pools, and stock issuances using Carta.
• Prepare equity documentation, stock option grants, restricted stock awards, and related approvals.
• Maintain corporate records, minute books, and governance documentation.
• Coordinate with founders, investors, attorneys, and external stakeholders to facilitate transactions.
• Research and manage Blue Sky compliance requirements, state filings, and SEC Form D filings.
• Track transaction deadlines and support compliance across multiple corporate entities.
• Train and mentor colleagues and support efficient knowledge sharing.
