Job summary

Arnold & Porter seeks a Senior Paralegal for our Corporate and Real Estate Practice Groups. The role may be based in Seattle, San Francisco, or Silicon Valley, supporting sophisticated corporate, finance, and real estate transactions.

The ideal candidate has 7+ years in corporate governance, entity management, and transactional support, with strong organizational skills and attention to detail. Notary eligibility is required in the posting state, with possible overtime and travel.

Qualifications

• High school diploma required; bachelor's degree strongly preferred.
• Minimum of seven (7) years of experience supporting corporate, finance, and real estate legal matters.
• Experience with EDGAR required.
• Experience with Carta a plus.
• Demonstrated experience managing complex transactions and corporate governance activities.
• Excellent written and verbal communication skills.
• Proven organizational and project management skills.
• Ability to work independently while meeting deadlines and priorities.
• Flexibility to work overtime and travel as needed.
• Must possess, or be eligible to obtain, a Notary commission in the state where the position is based.

Responsibilities

• Support attorneys through all phases of corporate, finance, and real estate transactions, including due diligence, document preparation, closings, and post-closing activities.
• Coordinate and prepare transaction closing documents and closing sets.
• Review and organize due diligence materials and maintain transaction records.
• Prepare and file entity formation documents and related corporate filings across jurisdictions.
• Maintain entity records and electronic databases tracking ownership structures and key details.
• Assist with equity incentive plans including stock option grants and vesting schedules.
• Monitor capitalization data and coordinate board and stockholder approvals for equity issuances.
• Prepare UCC filings and conduct related searches.
• Research real property records and coordinate recording of deeds and related documents.
• Provide notary services as needed.
