Job summary

Generate Capital is seeking a Senior Paralegal in San Francisco, CA to partner with the Chief Legal Officer and the legal team. You will review routine agreements using playbooks, prepare corporate documents, and track deadlines and requests across matters.

The ideal candidate has 7+ years of paralegal experience in-house or at a fast-paced organization, with governance, negotiation, and project-management skills.

Responsibilities

• Own intake, review, and negotiation of nondisclosure agreements using templates and playbooks.
• Support negotiation, execution, and administration of commercial contracts including software licenses.
• Distinguish routine issues from matters needing attorney review and elevate as needed.
• Prepare, amend, and restate operating agreements and governance documents; prepare consents and resolutions.
• Maintain corporate books, contracts repositories, templates, playbooks, and records.
• Keep tools and processes updated (signature policies, templates, checklists, SOPs).
• Create systems to track requests, status, deadlines, renewals, and follow-ups across matters.
• Identify workflow improvements to enhance legal team efficiency as the business grows.
• Collaborate with investment, finance, and operations as a solutions-oriented team member.

The Senior Paralegal will partner closely with the Chief Legal Officer, Deputy General Counsel and colleagues across the department and business. This role is designed for an experienced paralegal who can contribute immediately with limited day-to-day direction. The Senior Paralegal will review routine agreements within established playbooks, prepare corporate documents, and maintain reliable systems for tracking requests, deadlines, and follow-up items.

What you will be doing at Generate Capital as the Senior Paralegal

• Own the intake, review, and negotiation of nondisclosure agreements using approved templates, playbooks, and escalation protocols.
• Review and support the negotiation, execution, and administration of commercial agreements, including software and other licensing agreements, consulting agreements, engagement letters, and related contracts.
• Apply sound judgment to distinguish matters that can be handled within established guidelines from nonstandard legal or business issues that require attorney review; identify and elevate those issues early and clearly.
• Support the preparation, amendment and restatement of operating agreements and other organizational documents, as well as written consents, resolutions, officer and secretary certificates, incumbency certificates, and related governance materials.
• Maintain accurate corporate books and records, entity information, contract repositories, templates, playbooks, and other legal documentation.
• Help maintain tools and processes used by the department and business, including updating signature policies, templates, playbooks, checklists, and operating procedures.
• Create and maintain practical systems for tracking requests, status, ownership, deadlines, renewals, and follow-up items across multiple active matters.
• Look for ways to improve workflows, anticipate recurring needs, and implement thoughtful process improvements that make the Legal team more effective as the business grows.
• Partner with investment, finance, operations, and other business teams as a solutions-oriented member of the legal team who can move work forward while protecting the company’s interests.

Candidate Qualifications & Core Characteristics

• At least 7+ years of relevant paralegal experience in an in-house legal department, law firm, investment platform, financial institution, or similarly fast-paced organization.
• Demonstrated ability to perform senior-level paralegal work independently and deliver accurate work with limited supervision.
• Experience preparing and maintaining corporate governance documents and records, including operating agreements and amendments or restatements, resolutions, written consents, and officer or secretary certificates.
• Experience reviewing and negotiating nondisclosure agreements and supporting commercial contracts is a plus.
• Strong project-management and organizational skills, including experience managing multiple active matters and maintaining accurate tracking systems.
• Sound judgment and the ability to distinguish routine matters from issues that require attorney review.
• Clear written and verbal communication skills and a responsive, service-oriented working style.
• Bachelor's degree, paralegal certificate, or equivalent relevant experience.
• Experience in renewable energy, infrastructure, project finance, asset management, private equity, or investment transactions is strongly preferred.

Generate’s compensation packages are dependent on the facts and circumstances of each case. Salary decisions take into account a wide variety of factors including, but not limited to: skill sets, experience and training, licensure and certifications, geographic location, and other business and organizational needs. A reasonable estimate of the base salary range for this role is $140,000 - $180,000. In addition, the compensation package may include a discretionary bonus and other benefits, including health care benefits, retirement benefits, benefits permitting paid days off (including sick leave, parental leave, and paid time off or vacation benefits), and other benefits that must be reported for federal tax purposes. It is not typical for an individual to be hired at the top of this range.
