The role focuses on fund operations, corporate governance, regulatory compliance, and transactional activities within a private equity environment. The ideal candidate has 5+ years in private equity paralegal work, a strong background in fund formation and filings, and the ability to manage sensitive documents and deadlines.

Qualifications

• 5+ years of corporate paralegal experience at a private equity firm, registered investment adviser, alternative asset manager, or law firm corporate/private funds practice.
• Strong Excel, organizational, and project management skills.
• Ability to work independently and manage competing priorities.
• Hybrid schedule with 3 days in office in Chicago.

Responsibilities

• Manage formation, maintenance, and dissolution of fund, GP, and management company entities and related governance filings.
• Coordinate regulatory filings (Form ADV, Form PF, AIFMD) and regulatory calendars/reports.
• Support fund formations, investor documents, side letters, AML/KYC, closings, and transfers.
• Provide transactional support including deal entity formation, NDAs, closing documentation, and onboarding.
• Coordinate legal holds, subpoenas, litigation support, and e-discovery with internal and outside counsel.
• Oversee and mentor junior team members and manage recurring filings and internal processes.

Our client, a leading private equity investment firm, is seeking a Senior Corporate Paralegal to join its Legal & Compliance team in Chicago. This individual will play a key role in supporting the firm's fund operations, corporate governance, regulatory compliance, and transactional activities.

This is an excellent opportunity for an experienced paralegal with a background in private equity, alternative asset management, or private funds to take ownership of important legal processes while working closely with senior leadership.

Key Responsibilities

• Manage the formation, maintenance, and dissolution of fund, GP, and management company entities, including corporate governance and related filings.
• Coordinate regulatory filings, including Form ADV, Form PF, and AIFMD, as well as SEC examinations, regulatory calendars, and compliance reporting.
• Support fund formations, investor subscription documents, side letters, AML/KYC, fund closings, and investor transfers.
• Provide transactional support, including deal entity formation, NDAs, closing documentation, and portfolio company onboarding.
• Coordinate legal holds, subpoenas, litigation support, and e-discovery matters with internal teams and outside counsel.
• Oversee and mentor junior team members while managing recurring filings, projects, and internal processes.

Qualifications

• 5+ years of corporate paralegal experience at a private equity firm, registered investment adviser, alternative asset manager, or law firm corporate/private funds practice.
• Strong experience with fund and entity management, corporate governance, regulatory filings, and fund documentation.
• Familiarity with Form ADV, Form PF, AIFMD, SEC regulations, and AML/KYC requirements preferred.
• Experience with EDGAR and platforms such as Funded, MyComplianceOffice, or DealCloud is a plus.
• Strong Excel, organizational, and project management skills.
• Bachelor's degree and paralegal certificate preferred.
• Ability to work independently, exercise sound judgment, and manage competing priorities.
• Chicago-based, hybrid schedule (3 days in office).
