The opportunity

Unity is looking for a Senior Counsel, Corporate and Securities to join its Legal team. In this role, you will be responsible for providing legal support for corporate functions across our global organization. You will work cross-functionally with Unity’s legal, accounting, tax, treasury, investor relations, marketing, and human resources teams and interact with all levels of the business. This role will report to the Vice President, Corporate Legal, and be based out of our New York or San Francisco offices.

What you'll be doing
  • Support Unity’s public company compliance obligations including preparing disclosure documents, periodic and current reports, and proxy statements.
  • Refine processes and procedures to ensure compliance for Unity as a public company.
  • Advise on affiliate trading matters, including Section 16 reporting and 10b5-1 plans.
  • Advise on corporate governance matters, including developing board materials and updating corporate policies.
  • Provide legal support for Unity’s global equity program, managing securities law requirements, drafting equity plan documents, and advising on structuring elements of our equity programs.
  • Advise on legal aspects of corporate activities such as securities offerings, treasury activities, and intercompany agreements.
  • Oversee management of securities litigation.
  • Manage outside counsel on a global basis efficiently.
What we're looking for
  • JD from an accredited law school.
  • 5-7 years of experience at a top law firm or corporate law department with a focus on corporate, securities, or capital markets.
  • Knowledge of public company financial reporting rules and securities law regulations.
  • Ability to work directly with internal clients at all levels.
  • Excellent judgment, communication, organizational, and interpersonal skills; ability to collaborate across multiple groups.
  • Creative and strategic problem-solving skills.
  • Ability to work independently and take initiative.
  • Business-focused mindset, curiosity, and a sense of humor.
You might also have
  • Prior in-house experience with advertising, enterprise software, Internet, or high-tech companies.
