Job summary

Brewer Morris is recruiting a Senior Tax Counsel to join a Fortune 500 client's in-house Tax Planning team, focusing on M&A and strategic transactions. This role offers exposure to senior leadership, cross-functional deal teams, and complex domestic and international matters.

The ideal candidate brings a strong transactional tax background, hands-on experience structuring deals, leading tax diligence, and delivering tax provisions and modeling to support high-value transactions.

Qualifications

• Bachelor's Degree and JD from an accredited institution, and active bar membership.
• Minimum 3+ years of transactional tax experience with emphasis on M&A.
• Strong knowledge of Subchapter C (Corporate Tax) and Consolidated Return Regulations.
• Experience drafting and reviewing transaction documents and tax provisions.
• Proven ability to operate effectively in a fast-paced, deal-driven environment.

Responsibilities

• Provide tax support throughout the full lifecycle of transactions, including due diligence and modeling.
• Advise on mergers & acquisitions, dispositions, joint ventures, restructurings, and financing transactions.
• Lead U.S. federal income tax considerations and coordinate state and international tax issues.
• Collaborate with legal, finance, and business teams to evaluate tax implications of strategic initiatives.
• Develop and refine financial models to assess tax outcomes for various structures.
• Prepare tax provisions, memoranda, and opinions for transaction documents.
