Talent Wave Associates seeks a Senior Corporate Counsel - Mergers & Acquisitions to join its legal team in Dallas, TX. This is a newly created growth role driven by increasing M&A activity, with broad exposure to contracts, governance, risk management, and strategic business matters.

The role emphasizes advising on transactions from structure through closing, while collaborating with senior leadership and cross-functional partners to support the company’s expansion strategy.

Qualifications

• J.D. from an accredited law school.
• Active license in at least one U.S. state bar.
• Around 5+ years of corporate legal experience with hands-on M&A.
• Experience supporting transactions from start to close.
• Strong drafting, negotiation, and analytical skills.

Responsibilities

• Advise on corporate transactional and government law matters.
• Assist in all stages of M&A deals: structuring, due diligence, contracts, closing.
• Conduct legal and factual research to identify risks and issues.
• Counsel on corporate structure, governance, shareholder rights, and regulatory compliance.
• Stay updated on laws to ensure compliance and risk mitigation.
• Collaborate with senior leadership and cross-functional teams.
• Assist with administration of employee stock ownership plans.
• Oversee entity formation and maintenance domestically and internationally.
• Manage shareholder records and negotiate contracts and leases.
• Coordinate with internal and external legal teams as needed.
• Perform other duties as directed by senior leadership.
