Job summary

Morningstar Law Group is seeking a Senior Corporate Associate with 5–7 years of experience to join its Mergers & Acquisitions and Private Equity teams in Raleigh, NC. This role focuses on running deals with direct client contact and offers work-from-home flexibility.

You will handle middle-market M&A, add-ons, leveraged buyouts, and related financings, collaborating with partners and cross-functional teams in a dynamic, client-facing environment.

Qualifications

• J.D. from an accredited law school; strong academic record.
• 5–7 years of experience on sophisticated M&A/private equity transactions.
• Licensed to practice law in at least one U.S. jurisdiction; willingness to become NC licensed within 1 year.

Responsibilities

• Draft and negotiate purchase agreements, merger agreements, and LOIs for asset and equity transactions.
• Manage day-to-day transaction activity from signing through closing.
• Represent sponsors and portfolio companies in platform acquisitions, add-ons, and LBOs.
• Support acquisition financings and related private capital transactions.
