Job summary

BCG Attorney Search seeks a Senior Associate Attorney specializing in Corporate M&A for its Boston, MA office. The role involves advising clients throughout the M&A lifecycle, focusing on strategic acquisitions, divestitures, and exit transactions.

The candidate will lead buy-side and sell-side M&A transactions, draft and negotiate LOIs and purchase agreements, coordinate due diligence, and provide structuring advice while staying current on corporate and securities law developments.

Qualifications

• 4+ years of corporate transactional experience.
• J.D. from ABA-accredited law school.
• Admitted to practice in Massachusetts or eligible for prompt admission.

Responsibilities

• Lead and support buy-side and sell-side M&A transactions.
• Draft and negotiate transaction documents (LOIs, purchase agreements).
• Advise on transaction structure, risk allocation, and execution strategy.
• Coordinate due diligence for buyers and sellers.
• Support VC and growth-stage transactions related to acquisitions or exits.
• Counsel on post-closing integration and governance.
• Collaborate with internal teams and external advisors for closings.
• Stay current on corporate, M&A, and securities law developments.
