Job summary

Jobtailor in Denver, CO is seeking an experienced Mergers & Acquisitions attorney to guide and execute complex transactions. You will review, draft, and negotiate agreements, perform due diligence, and provide strategic legal counsel to business partners across the organization.

The role requires a J.D., bar admission, 4+ years of M&A experience, and strong drafting, research, and writing skills. Familiarity with federal securities law preferred.

Qualifications

• J.D. required and licensed to practice law in at least one state.
• Colorado licensure preferred.
• 4+ years of experience in a law firm or in-house legal department.
• Experience in mergers & acquisitions law required.
• Financial services experience preferred.
• Strong drafting, research, and writing skills.
• Knowledge of federal securities law, including the Investment Adviser Act of 1940, preferred.
• Ability to work effectively with teams and independently.
• Ability to manage and prioritize multiple projects.
• Excellent communication, analytical, and organizational skills.
• Daytime and evening availability as needed.
• Working from the office may be required depending on the team’s needs.

Responsibilities

• Provide guidance and consultation on legal matters, including M&A transactions, contract negotiations, and corporate governance
• Review, draft, structure, and negotiate M&A agreements
• Conduct legal M&A due diligence and assist with firm-wide due diligence efforts
• Collaborate with business partners across the organization
• Assist, communicate with, and oversee outside counsel
• Research and advise on relevant legal issues
• Maintain current knowledge of new laws and regulatory developments
• Perform other duties as assigned
