Confidential Employer. in Washington, DC seeks a senior legal professional to draft and negotiate SaaS, cloud services, software licensing, and related agreements. You will partner with business and legal teams on transactions with meaningful client and business impact.

The role spans SaaS, cloud, IP licensing, privacy, e-commerce, and strategic commercial matters, with hybrid work and strong growth opportunities. Active DC or VA bar and 5+ years of tech transactions required; 3 years not enough.

Qualifications

• Active bar license in DC or VA.
• 5+ years of technology and commercial transactions experience.
• J.D. from an accredited law school.
• Strong contract drafting and negotiation skills.
• Experience with software, SaaS, cloud services, technology transactions, commercial agreements, IP licensing, or e-commerce.
• Excellent analytical, written, oral communication, and business judgment skills.
• Permanent authorization to work in the United States.
• Experience with distribution, logistics, government contracts, or international commercial agreements is a plus.

Responsibilities

• Draft and negotiate SaaS, cloud services, software licensing, implementation, platform integration, and professional services agreements.
• Advise on e-commerce platform launches, vendor onboarding, commercial terms, payment processing, merchant services, and platform compliance.
• Handle technology and IP licensing, commercialization transactions, and strategic partnership agreements.
• Prepare and negotiate data processing agreements and advise on privacy, data security, and related risk allocation.
• Review and negotiate distribution, logistics, supply chain, and other commercial agreements.
• Improve contract templates, standard terms, and contracting playbooks to streamline sales and procurement processes.
• Partner with business and legal teams to resolve issues, provide practical advice, and keep transactions moving.
• Exercise sound business judgment in fast-moving situations where practical solutions matter.
• Take ownership of matters and deadlines while contributing effectively to a collaborative team.
