We are seeking a senior-level tax attorney (Senior Associate, Counsel, or Partner) with substantial experience advising clients on M&A transactions, corporate and partnership taxation, transaction structuring and reorganizations, and tax diligence. The ideal candidate will have experience counseling private equity sponsors, strategic buyers, founders, and closely held businesses on acquisitions, dispositions, recapitalizations, rollover equity arrangements, joint ventures, and tax-efficient structuring involving C-corporations, S-corporations, and partnerships. The ideal candidate will also have experience drafting, reviewing and negotiating 409A compliant plans, including top hat plans. Candidates should possess strong technical tax skills, strong drafting skills, practical business judgment, and the ability to work collaboratively with corporate deal teams in a fast-paced transactional environment. A portable book of business is welcomed but not required, depending on the level of the candidate.
