Job summary

Madison-Davis, LLC is seeking an experienced Legal Counsel to support its asset management and investment activities in New York. The role focuses on private fund formation, investment transactions, regulatory matters, and ongoing fund operations across traditional and emerging asset classes.

The ideal candidate will have investment management law and private funds experience, with a keen interest in digital assets and innovative investment strategies, and be able to navigate complex structures

Qualifications

• Active membership in the New York State Bar.
• 5–7+ years of relevant legal experience at a major law firm or within an investment management organization.
• Experience with private investment funds, fund formation, asset management, private investments, or credit-related transactions.
• Strong knowledge of the Investment Advisers Act of 1940, SEC regulations, and applicable CFTC requirements.
• Experience with domestic and offshore investment fund structures and related legal documentation.
• Understanding of investment adviser obligations, conflicts of interest, and allocation of investment opportunities across multiple funds.
• Experience negotiating complex financial transactions involving multiple parties and customized commercial terms.
• Genuine interest in digital assets and emerging investment products.

Responsibilities

• Draft, review, and negotiate legal documentation related to fund formation and operation, including governance materials and investor documents.
• Advise on domestic and offshore fund structures and ongoing fund operations.
• Support fund restructuring, wind-downs, and liquidation activities.
• Provide transactional legal support for private credit, direct lending, leveraged finance, and private debt investments.
• Collaborate with investment professionals, portfolio managers, and external counsel on due diligence and negotiations.
• Interpret and apply regulations governing investment advisers and investment funds (Investment Advisers Act, SEC, CFTC).
• Identify opportunities to improve legal processes through technology and automation.
