Role Overview:
Infovista is seeking a talented Senior Legal Counsel to join our legal team with US law expertise. This role is crucial as we navigate through complex compliance regulations and need to provide legal commercial support in our journey toward industry leadership. In this position, you will work collaboratively with other members of the legal team and engage with business stakeholders across regions to ensure consistent application of legal standards and effective risk management throughout the group. You will contribute to the protection of the company’s contractual rights (audit rights, piracy) and intellectual property assets (e.g., patents, trademarks, domain names), in coordination with external counsel as needed.
Key Responsibilities:
1. Contractual matters / business support:
- Act as the primary legal point of contact for Americas (Latam, US, Canada) matters and providing support on global issues as necessary.
- Lead the review, negotiation, and drafting of a wide range of commercial contracts to ensure that all contracts align with company policies and objectives, including NDAs, licensing terms, SaaS and Cloud agreements, supplier agreements, Value Added Resellers (VARs) contracts, Professional Services agreements, and master agreements, ensuring alignment.
- Support bid activity and commercial transactions through review of RFQs, RFPs, and related contractual frameworks.
2. Legal Operations:
- Help promote good contract management practices across the business and participate in training or coaching of internal teams (e.g., Sales, Delivery, Engineering) where appropriate; develop playbooks and deliver legal training and guidance to business and technical teams.
- Contribute to the development, update, and implementation of legal templates and internal legal practices aligned with the company’s strategy and compliance requirements. Assist in assessing and improving internal legal processes and templates, supporting initiatives to streamline legal processes and documentation and align with best practices.
3. Regulatory and Compliance
- Sanctions and Export Control: Ensure compliance with international sanctions and export control regulations, providing guidance and oversight to mitigate risks associated with global trade; supporting initiatives that promote a culture of compliance across business functions and monitoring of regulatory developments.
- ABAC & Third-Party Screening: develop and implement methodologies and processes for Anti-Bribery and Anti-Corruption (ABAC) compliance, ensuring thorough internal and external screening of third-party partners to ensure adherence to legal and ethical standards; supporting due diligence processes and the integration of compliance clauses into contracts.
- Compliance Support: Provide comprehensive support for all compliance-related reviews and assessments, including privacy related regulations, Artificial intelligence nascent framework, GDPR, ISO 27001, ensuring adherence to legal standards across internal and external operations.
- GDPR and similar regulations : Assist in the implementation and refinement of internal privacy and compliance policies and documentation, in collaboration with infosec and business teams; contribute to various operational activities such as vendor privacy reviews, updates of ROPAS, DPIAs, in order to build privacy first products.
4. Intellectual Property:
- Develop and implement strategies for managing the company's intellectual property portfolio, including source code, patents, trademarks, copyrights, and trade secrets.
- Oversee the filing and maintenance of patent and trademark applications, ensuring protection of the company's innovations and brand identity.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Minimum 7+ years of relevant legal experience ideally gained in international law firm and in-house.
- Solid expertise in commercial and business law on software related matters (B2B), including hands-on experience in transactional work and contract drafting, reviewing, and negotiating across a wide range of agreements.
- Strong analytical, communication, and negotiation skills; ability to collaborate effectively with cross-functional teams.
- Experience in the technology or telecommunications industry is a plus.
