Position Overview

We are seeking a Senior Legal Counsel to join and support the Rail Infrastructure business in either New York City, NY, or Las Vegas, NV. The ideal candidate will have at least 10 years of progressively responsible experience in a law firm and in-house corporate settings, with knowledge of Government Contracts and experience negotiating various contracts including procurement, supplier, construction, design, and licensing agreements. Familiarity with federal regulations from DOT, FRA, and FTA is highly desirable.

You will be responsible for strategic contract management and dispute resolution, providing legal advice during procurements, negotiations, and project execution, and drafting legal documents such as claims and position papers. The role requires the ability to explain complex legal topics clearly, adapt to ambiguity, and lead through complex situations.

Requirements

• Law degree with experience in public infrastructure and government contracts; JD and license to practice law in Pennsylvania.
• Minimum of 10 years of practical experience in commercial transactions and litigation.
• Excellent legal writing, communication, and negotiation skills.
• Proficiency with project controls software and web-based management systems.
• Familiarity with regulated industries.

Responsibilities

• Analyze and resolve matters with government agencies, customers, partners, suppliers, and subcontractors.
• Manage contract risks, opportunities, and compliance with laws and regulations.
• Oversee contract negotiations and drafting, especially for complex projects.
• Collaborate with project teams on legal strategies, claims, and defense.
• Provide legal counsel on regulatory compliance and company activities.
• Manage litigation and coordinate with outside counsel.
• Develop legal and compliance training, and promote a culture of transparency and continuous improvement.
