Job description

The Senior Lead Counsel 1/SVP - North America Legal Entity Governance is a senior level position responsible for serving as subject matter expert and legal advisor to business stakeholders, functional partners, and certain US subsidiary boards and committees, including among others, the firm's US broker-dealer, by providing counsel and thought leadership on all aspects of legal entity governance of the firm's U.S.-based corporate chain subsidiary entities.

This role requires a pragmatic, proactive attorney with thorough understanding of corporate governance, combined with a solid conceptual / practical grounding in the laws and regulations for the geographies in which the firm operates. The role requires the provision of input into strategic decisions, and the exercise of sound legal judgement to develop proactive, risk-appropriate, and commercially business-oriented solutions. This is not a manager role.

Responsibilities:

  • Provides direction regarding governance over corporate actions of defined US-based subsidiaries
  • Is responsible for enhancing the documentation of governance and related training processes for defined US-based subsidiaries through coordination with the governance team, regional counsel, Finance, Compliance, and other stakeholders
  • Supports responses to regulators on regulatory, supervisory and examination-related issues for defined US-based subsidiaries
  • Provides legal advice in various legal entity governance and risk forums
  • Contributes to planning and development initiatives; contribute to objectives by providing thought leadership using knowledge of industry, laws, and regulations
  • Monitors management of complex issues and transactions, impacting the Legal Department or the business and escalating necessary issues
  • Advises in complex negotiations with vendors, customers, partners, and other parties, escalating when necessary
  • Appropriately assesses risk, demonstrating particular consideration for the firm's reputation and safeguarding the firm, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalates, managing and reporting control issues with transparency

Qualifications:

  • 7+ years of relevant industry experience, preferably in financial services
  • Banking or financial industry experience, including laws related to banking regulations
  • Governance experience coupled with knowledge of laws and regulations applicable to US broker-dealer governance and regulations applicable to financial holding companies
  • Effective communication and negotiation skills and ability to build and maintain trusted relationships
  • Excellent leadership, interpersonal, organizational and relationship management skills
  • Proven ability to apply sound judgement while managing assignments in a demanding, fast-paced environment
  • Bar license in good standing to practice law

  • Juris Doctorate or equivalent law degree
