Job summary

Inovalon is seeking a Senior Legal Counsel to provide legal and commercial guidance across the Provider business unit, structuring, negotiating, and managing agreements to enable growth and client connectivity.

You will partner with multiple teams, advise on regulatory matters such as HIPAA and Medicare/Medicaid, and help balance legal risk with business opportunities. This is a senior, influential role in a dynamic healthcare technology company.

Qualifications

• At least ten years of legal practice with five years in relevant settings.
• Juris Doctor from an accredited school and licensed in any US state or DC.
• Significant experience drafting, reviewing, and negotiating complex commercial agreements.
• Strong knowledge of healthcare laws, HIPAA, fraud and abuse, Medicare/Medicaid compliance.
• Ability to communicate legal concepts clearly to business leaders.

Responsibilities

• Draft, review, negotiate, and manage complex commercial agreements, including SaaS and data-sharing agreements.
• Structure and negotiate provider connectivity and interoperability contracts.
• Partner with Sales, Finance, Product to align terms with regulatory requirements.
• Advise on healthcare regulatory matters including HIPAA and Medicare/Medicaid compliance.
• Counsel on data use and privacy implications of proposed data uses.
• Support subpoenas, litigation, investigations, and regulatory inquiries.
