Job summary

Quest Diagnostics Incorporated is seeking a Sr Corporate Counsel with health law experience to serve as a strategic partner to our business teams. The role focuses on drafting, negotiating andCounseling internal clients on healthcare, regulatory and commercial matters.

The ideal candidate will have substantial in-house and healthcare contracting experience, strong drafting skills, and the ability to balance risk with business velocity while advising across sales, product and finance under tight

Qualifications

• J.D. or equivalent degree required.
• Admitted to at least one state bar or eligible for in-house counsel licensure.
• 7–10 years of experience as a practicing attorney.
• In-house experience preferred.
• Health care contracting experience and familiarity with HIPAA.
• Experience drafting and negotiating complex health care agreements.
• Experience developing procedures for contract reviews.
• Experience in data analytics and consumer-facing health care.
• Strong legal drafting skills.
• Strong interpersonal and diplomatic communication.
• Ability to work independently and in a team and prioritize.
• Proficient using AI tools for contracting and research.

Responsibilities

• Draft, review, and negotiate a wide range of commercial agreements including: MSAs and related SOWs, DPAs/BAAs, reseller and collaboration agreements, and data licensing.
• Lead complex, multi-threaded negotiations with enterprise customers and strategic partners; balance risk with business velocity and articulation of paths to signature.
• Advise across sales, channels, product, security, finance, and procurement on commercial strategy, legal risk, privacy, and compliance; provide guidance under tight timelines.
• Continuously improve contract templates, fallback positions, and negotiation playbooks; streamline approvals and escalations to reduce cycle time.
• Manage outside counsel on overflow and specialized matters; ensure quality and cost discipline
