500 Global is seeking a General Counsel, Group to lead governance, board workflows and risk management across U.S. regulatory obligations.

You will guide executive leadership, coordinate compliance programs for the Americas, and oversee major firm-level transactions with a focus on preserving exempt status and effective risk controls. Qualifications

• JD or equivalent law degree, admitted to practice in at least one US state.
• 15+ years of post-qualification experience in investment management, funds or corporate practice.
• Deep knowledge of the Investment Advisers Act, Regulation D, and Form ADV.
• Experience as, or supporting, a Chief Compliance Officer, including running a compliance program.
• Track record leading firm-level transactions (M&A, equity raises, GP-stake or seeding arrangements) through to close.

Responsabilités

• Own governance and board machinery, including operating agreements, board and committee charters, written consents, officer appointments and ratifications.
• Preserve the US adviser’s exempt reporting status as products evolve, clearing vehicles or structures against the US-adviser trigger list before offering to counterparties.
• Own the standing US regulatory obligations regardless of exemption (anti-fraud, insider trading, pay-to-play, Form ADV accuracy, Regulation D) and set escalation triggers.
• Serve as named Compliance Officer for the Americas, running compliance programs via internal resources and outsourced providers with documented escalation lines.
• Oversee the fund offering and marketing materials, investor solicitation, securities and fundraising matters with defined turnaround times.
• Maintain the legal operating system with precleared positions, templates and up-to-date trigger lists for quick unit counsel action.
• Lead the legal work on firm-level transactions, including acquisitions, consolidations and platform equity raises, through close.
