Job summary

500 Global seeks a General Counsel, Group to lead governance, US regulatory perimeter, entity structure and capitalisation decisions. This role advises the Board, CEO, COO and shareholders, serves as Secretary of the Board and Audit Committee, and is the named Compliance Officer for the Americas.

Day-to-day legal work sits with the Unit Legal Team, with the GC setting standards and risk thresholds. The GC will own the legal operating system, oversee firm-level transactions (M&A, equity raises,

Qualifications

• JD or equivalent law degree; admitted and in good standing in at least one US state bar.
• 15+ years’ post-qualification experience in investment management, funds or corporate practice at a major firm and in-house at a VC/PE or asset manager.

Responsibilities

• Own governance and board machinery, charters, consents, appointments and records.
• Preserve exempt reporting status and review new vehicle structures against regulatory triggers.
• Own standing US regulatory obligations including anti-fraud, insider trading, pay-to-play, Form ADV and Reg D.
• Serve as named Compliance Officer for the Americas with a documented escalation line.
• Oversee fund offering, marketing materials, investor solicitation and fundraising reviews.
• Maintain the legal operating system with templates, positions and clear escalation protocols.
• Lead legal work on firm-level transactions from design through diligence to close.
• Design and implement entity structures and risk registers across business units.
