The Finance Group at Warner Norcross + Judd LLP is growing, and we are seeking an experienced Financial Institutions M&A/Securities Attorney to join our team.

We have a strong foundation of talented attorneys serving banks and other financial institutions and are looking to add a senior-level attorney who will contribute to the continued growth of our practice while advising clients on their most significant corporate and strategic matters.

Qualifications

• J.D. from an accredited law school and admission in good standing to at least one U.S. jurisdiction.
• 10+ years of experience representing banks, financial institutions, or companies in sophisticated corporate transactions.
• Experience with financial institution M&A, securities offerings and regulation ('33 Act and '34 Act), SEC reporting, corporate governance, and general corporate matters.
• Experience advising boards of directors and executive leadership on strategic and governance matters.
• Strong ability to manage complex transactions and build client relationships with collaboration across teams.
• Excellent communication, responsiveness, and client service skills.

Responsibilities

• Advising clients on mergers and acquisitions, securities offerings and regulation.
• Providing guidance on corporate governance and SEC reporting obligations.
• Collaborating with attorneys across Warner's Business and Finance practices on complex transactions.
• Serving as trusted advisor to boards and leadership while managing multi-party deals.
