Job summary

OneSource Virtual (OSV) is seeking a Senior Commercial Counsel to join its legal team as a senior, strategic business partner. This role leads negotiation and execution of complex commercial transactions across OSV’s SaaS and BPaaS offerings, partnering with Sales, Customer Success, and leadership to structure and close deals.

Qualifications

• J.D. from an ABA-accredited law school.
• 10+ years of commercial/corporate law experience, including BPaaS and SaaS.
• Strong drafting, negotiation, and interpersonal skills.
• Ability to independently manage numerous complex matters.
• Experience leading complex enterprise technology transactions with Fortune 500 customers.
• Significant experience with data protection, privacy, and AI-related laws (GDPR, CCPA).
• Exceptional judgment balancing legal risk and business objectives in a fast-paced environment.
• Proven ability to improve legal processes and scale contracting resources.

Responsibilities

• Lead strategy, negotiation, and execution of complex enterprise agreements (SaaS, BPaaS, DPAs, BPA, data security agreements).
• Draft, review, and negotiate technology and licensing agreements with large customers.
• Serve as a strategic legal partner on deal structuring and risk assessment with Sales, Customer Success, and leadership.
• Collaborate cross-functionally with Finance, Security, Product, and Support on issues and go-to-market programs.
• Develop and improve form agreements, templates, and negotiation playbooks.
• Advise on IP licensing, open-source usage, and data rights, including AI considerations.
• Contribute to workflows to scale the legal team and train business teams on best practices.
• Leverage AI-powered tools to increase efficiency in high-volume contracting.
