About the Role

Wiley is at a pivotal juncture in its transformation, seeking a Senior Director for Corporate Development to drive inorganic growth and shape the enterprise portfolio through transformative transactions worldwide. The role reports directly to the Corporate Vice President, Head of Corporate Development, and involves full M&A lifecycle ownership—from origination and market intelligence to diligence, valuation, and close—providing high‑visibility exposure to the C‑suite and critical impact on long‑term strategy.

Job Responsibilities
  • Deal Origination, Pipeline Management, and Competitive Intelligence: Build and maintain an M&A pipeline aligned with strategic priorities in data services, AI‑enabled publishing, and adjacent content and technology verticals; leverage market intelligence to inform acquisition agenda.
  • Strategic Insight: Translate market dynamics into recommendations that drive M&A prioritization and partnership opportunities.
  • Target Identification: Proactively identify and cultivate acquisition targets and partnerships through industry relationships, competitive analysis, and market intelligence.
  • Relationship Management: Expand and deepen relationships with external partners in investment banking, venture capital, financial sponsors, and thought leaders.
  • Deal Thesis Ownership: Own deal thesis from initial screening to executive and Board‑level presentation, synthesizing complex dynamics into actionable investment recommendations.
  • Financial Analysis & Valuation: Lead rigorous financial modeling—DCF, comparable company analysis, precedent transactions, accretion/dilution—to assess risk‑adjusted returns and strategic fit.
  • Transaction Execution: Own deal structuring and negotiation support, partnering with Legal to optimize transaction terms; lead all due diligence phases—commercial, financial, legal, operational—coordinating cross‑functional workstreams.
  • Integration Planning & Post‑Close Value Creation: Collaborate with functional leaders and external vendors to develop integration plans, establish KPIs, and track post‑close value creation against the original thesis.
Required Qualifications
  • Bachelor's degree required; MBA or graduate degrees in a related discipline strongly preferred.
  • 8–10+ years of progressive experience in investment banking (M&A or coverage), private equity, venture capital, or corporate development at a company undergoing significant transformation.
  • Deep expertise across the full M&A transaction lifecycle—origination, valuation, diligence, negotiation, and close.
  • Proven track record of leading multiple complex, time‑sensitive transactions with real financial and strategic accountability.
  • Exceptional financial modeling skills and ability to build and stress‑test independent deal models.
  • Executive presence and communication skills—able to influence and present to C‑suite and Board‑level stakeholders.
  • Demonstrated autonomy and self‑direction in fast‑paced, ambiguous environments.
  • Experience in publishing, education technology, or information services is a strong plus.
