American College of Obstetricians and Gynecologists in Washington, DC, seeks a Senior Director of Board Affairs and Governance to lead governance operations for the dual-entity nonprofit (C6 and C3). You will partner with the CEOs and board chairs to strengthen board effectiveness and alignment with bylaws and regulatory requirements.

The role oversees board calendars, meetings, materials, and communications, guides succession planning, and drives governance modernization while ensuring

Qualifications

• Bachelor’s degree required.
• Minimum 12 years of relevant experience.
• Minimum 5 years of supervisory experience.
• Must have budget management experience.
• Experience in healthcare, medical associations, or membership organizations.
• Experience managing large boards (20+) and multi-board structures.
• Experience leading board transformation or governance modernization initiatives.

Responsibilities

• Serve as trusted advisor to CEO, Chief of Staff, and Board leadership on governance practices and compliance.
• Oversee governance frameworks for both C6 and C3 entities, ensuring bylaws and policies are followed.
• Lead evaluation and enhancement of governance structures, board effectiveness, and committee performance.
• Provide strategic support on board composition, succession planning, and board development.
• Lead board operations including annual calendars, meeting planning (in-person and virtual), and materials preparation.
• Ensure high-quality board communications and maintain governance records.
