Position Summary

The Senior Counsel – Vendor Contracting position serves a critical role in providing all aspects of legal support and guidance on an independent basis to internal business partners, including senior/executive management, with respect to sourcing, establishing and managing key and complex commercial relationships and vendor engagements across CVS Health. The position serves as the lead attorney in managing, reviewing, evaluating, drafting and negotiating a wide range of vendor contracts, such as master service agreements, amendments, statements of work, terminations and similar documents, to drive strategic business initiatives. In doing so, the role must handle and manage a high volume of matters and transactions in an efficient and effective manner while helping to identify, assess and mitigate risk to the enterprise. The role also serves as a subject matter expert by providing strategic advice and counsel across a variety of sophisticated legal and business issues as well as interpretation of new legal requirements, and works closely with senior/executive management to advance business objectives and achieve successful results.

Major Responsibilities

  • Lead and provide end-to-end contractual legal services in connection with vendor sourcing and engagement, on an independent basis, including the review, drafting and negotiation of vendor contracts, e nsuring adherence to applicable laws, regulations, and internal policies and alignment with business objectives.
  • Independently provide internal business partners and other key stakeholders, including senior/executive management, with strategic counsel, guidance and advice regarding a wide range of complex and sophisticated legal and business issues to help advance key business objectives.
  • Lead and manage efforts to develop and implement department initiatives, including templates, guidelines, policies, procedures, and trainings.

Required Qualifications

  • 8+ years of sophisticated corporate/commercial legal work in a law firm or in-house position, including significant experience drafting and negotiating complex contractual terms and conditions.
  • Mastery in reviewing and analyzing complex commercial contracts.
  • Excellent drafting, analytical and problem-solving skills.
  • Excellent written and verbal communication skills.
  • Manage multiple high priority contracts/projects on a regular basis without oversight, adjusting priorities as needed and meeting deadlines.
  • Must be results oriented; possess ability to set the right expectations based upon the timelines and workloads of cross functional stakeholders; drive the project and keep others on task to meet goals.
  • Demonstrated team player, able to develop cross functional relationships and communicate effectively with all levels of the organization, including senior/executive management.

Preferred Qualifications

  • Experience with technology transactions and commercial contracts, including drafting and negotiating complex technology agreements and expertise in the areas of XaaS, cloud services, AI, software licensing, data security, data privacy, and related matters.
  • Demonstrated team management and people leadership skills.

The typical pay range for this role is:

$175,100.00 - $334,750.00

Pay Range

The typical pay range for this role is:

This pay range represents the base hourly rate or base annual full-time salary for all positions in the job grade within which this position falls. The actual base salary offer will depend on a variety of factors including experience, education, geography and other relevant factors. This position is eligible for a CVS Health bonus, commission or short-term incentive program in addition to the base pay range listed above. This position also includes an award target in the company’s equity award program.
