Job summary

Rutherford is seeking a Senior Legal Counsel to serve as the lead legal partner for technology procurement across the organisation. You will advise on acquiring critical infrastructure, hardware, software, and enterprise technology solutions.

Key responsibilities include negotiating hardware, software, SaaS and cloud agreements; supporting large-scale infrastructure procurements; guiding strategic sourcing and complex vendor negotiations; advising on licensing models and IP; and developing

Qualifications

• JD and active admission to at least one US state bar.
• 8+ years post-qualification experience in-house or at a leading law firm.
• Significant experience negotiating technology procurement and commercial agreements.
• Strong understanding of enterprise software licensing, SaaS, cloud services and tech transactions.

• Draft, review and negotiate technology procurement agreements across hardware, software, SaaS, cloud, and services.
• Support large-scale technology infrastructure procurements including compute hardware, networking, and storage.

Job description

The Senior Legal Counsel will serve as the lead legal partner supporting technology procurement across the organisation. This individual will advise on the acquisition of critical infrastructure, including compute hardware, servers, networking equipment, software platforms and enterprise technology solutions.

Key Responsibilities

• Draft, review and negotiate a broad range of technology procurement agreements, including: hardware purchase agreements, software licensing agreements, SaaS and cloud services agreements, professional services agreements, maintenance and support agreements, master purchasing and supply agreements
• Support procurement of large-scale technology infrastructure, including compute hardware, networking equipment, storage solutions and related technologies.
• Advise on strategic sourcing initiatives and complex commercial negotiations with leading technology vendors.
• Advise on software licensing models, intellectual property considerations and technology-related legal issues.
• Support vendor management, supplier disputes and contract interpretation.
• Develop and enhance contract templates, policies and legal processes to support a high-growth business.

Desired Experience

• Juris Doctor (JD) and active admission to at least one US state bar.
• Approximately 8+ years' post-qualification legal experience gained in-house and/or at a leading law firm.
• Significant experience negotiating complex technology procurement and commercial agreements.
• Strong understanding of enterprise software licensing, SaaS, cloud services and commercial technology transactions.
