Position Overview:

The Senior Counsel role is fully remote and reports to the Chief Legal Officer (OCLO). The role involves supporting insurance regulatory matters and transactions related to financial insurance and risk transfer solutions within Nationwide’s Specialty Finance department. Candidates should have extensive experience with financial insurance regulation (e.g., credit, surety, financial guaranty, residual value) and supporting complex transactions, including cross-border insurance and reinsurance. Experience with securitization and structured financing is a plus but not mandatory.

Responsibilities:

  1. Advise on legal and regulatory issues concerning financial lines insurance products and transactions.
  2. Draft and negotiate insurance policies, collateral agreements, term sheets, NDAs, reinsurance agreements, and ancillary documents.
  3. Ensure compliance with applicable insurance laws and regulations.
  4. Manage cross-border insurance and reinsurance transactions.
  5. Collaborate with internal teams and external counsel across various jurisdictions.
  6. Stay updated on legal and regulatory changes affecting insurance and advise accordingly.
  7. Assist with claims, dispute resolution, and negotiations as needed.

Summary:

Provide high-level legal services supporting Nationwide’s goals. Independently handle complex legal matters, assess risks, and advise senior leadership. Develop risk mitigation strategies and create legal solutions for unique and complex issues.

Key Responsibilities:

  1. Deliver expert legal advice on significant, high-risk issues.
  2. Identify legal risks and recommend mitigation strategies.
  3. Engage with senior leaders and influence decision-making.
  4. Develop creative solutions for complex legal problems.
  5. Lead strategic and sensitive legal matters.
  6. Monitor legal developments and advise on strategic implications.
  7. Maintain relationships with internal and external legal contacts.
  8. Lead and mentor legal teams as appropriate.
  9. Manage outside counsel budgets and resources.
  10. Hire and develop legal talent, providing coaching and feedback.

Other responsibilities may be assigned as needed.

Reporting: Reports to Vice President/Managing Counsel; may lead a team.

Qualifications:

  • Juris Doctor from an ABA-accredited law school.
  • Licensed and in good standing in relevant jurisdictions.
  • 15+ years of relevant legal experience; management experience preferred.
  • Expertise in areas of law relevant to insurance and finance.
  • Strong communication, analytical, and leadership skills.

Additional criteria include leadership qualities, competencies, and experience. Staffing exceptions require approval.
