Job summary

KeyCorp is seeking a Senior Counsel to act as a primary legal adviser to KeyBanc Capital Markets in Cleveland, focusing on M&A advisory engagements and capital markets transactions. The role partners with risk, compliance, and control functions to balance business objectives with regulatory constraints.

You will draft and negotiate critical deal documents, manage external counsel, and monitor evolving securities laws while guiding senior business leaders on risk and strategic considerations.

Qualifications

• J.D. from an accredited law school and active bar admission in at least one U.S. jurisdiction.
• 5+ years of transactional legal experience, including experience at a national or large regional law firm.
• Experience with corporate and M&A transactions and capital markets transactions.
• Drafting, negotiation, and issue-spotting capabilities in sophisticated deal work.

Responsibilities

• Serve as primary legal adviser for investment banking deal teams and senior stakeholders.
• Counsel senior KBCM business leaders on corporate and finance transactions including M&A and capital markets.
• Draft, review, and negotiate transaction documentation such as engagement letters and underwriting agreements.
• Advise on regulatory, reputational, and conflicts-of-interest considerations; manage external counsel and internal partners.
• Monitor regulatory developments and position legal risk within enterprise risk appetite.
• Collaborate with risk, compliance, and business units to ensure timely, compliant execution.
