Job summary

Origis Energy is seeking a midlevel attorney with 7+ years of experience in construction, procurement and O&M services for the solar and energy storage industry. The Senior Counsel, EPC & Services will negotiate and draft EPC, equipment supply, and O&M agreements and support dispute resolution when needed.

The role reports to the Managing Director Legal & General Counsel and is a regular, full-time position with a generous benefits package including employer-paid health insurance, PTO, 401(k)

Qualifications

• 7+ years of experience in construction, procurement and O&M in a legal capacity.
• JD and current admission to a state bar.
• In-house or law firm experience preferred in renewables and infrastructure.
• Experience with dispute resolution (litigation/arbitration/mediation).
• Ability to balance legal risk with business goals and collaborate with stakeholders.

Responsibilities

• Structuring, negotiating, reviewing, drafting, and revising term sheets and EPC/ equipment supply and O&M agreements.
• Advising and supporting construction, procurement and services teams to align with policy and finance matters.
• Drafting and reviewing change orders, lien waivers, estoppels, and similar instruments.
• Ensuring procurement, construction and O&M matters are executed on schedule to meet timelines and budgets.
• Monitoring legal developments affecting procurement, including trade, tariffs and tax credits, and advising the business accordingly.
• Providing summaries of deal terms and risk factors to leadership and stakeholders.
• Coordinating and overseeing outside counsel work to control costs.
• Assisting other legal team members in various transactions and matters.

Position Description

Origis Energy is seeking a midlevel attorney with 7+ years of experience in construction, procurement and O&M services for the solar and energy storage industry. The Senior Counsel, EPC & Services position will assist Origis in the preparation and negotiation of engineering, procurement and construction (EPC), equipment supply, operations and maintenance, and related agreements. This position will also support resolution of disputes related to such agreements from time to time.

Thisposition reports to the Managing Director Legal & General Counsel, is a regular, full-time position, and is eligible for our generous employee benefits package, including employer paid health insurance, paid time off, a 401(k) plan with employer matching contributions, and other great benefits.

Key Responsibilities

• Structuring, negotiating, reviewing, drafting, and revising term sheets, agreements, and related documents for EPC Agreements, various types of equipment supply agreements, and operations and maintenance agreements.
• Advising and supporting Origis’ construction, procurement and services business teams to achieve business goals and ensure compliance with internal corporate, finance and policy matters.
• Drafting and reviewing change orders, lien waivers, estoppels and similar instruments.
• Help ensure procurement, construction and O&M services matters are executed on schedule to support project timelines, budgets and commercial operations.
• Monitor legal developments impacting procurement efforts, including with respect to trade and tariffs, executive orders, and tax credit matters such as Foreign Entity of Concern (FEOC) and prevailing wage and apprenticeship requirements, and advise the business with respect to the same.
• Providing summaries of deal terms, including identification of risk factors, to senior leadership and other internal and external stakeholders.
• Coordinating and overseeing work performed by outside counsel on a cost-effective basis.
• Assisting other members of the legal team as needed in a variety of transactions and other matters.

Preferred Qualifications

• 5+ years’ experience in renewable energy construction, equipment procurement, and operations and maintenance in a legal capacity.
• Broad cross-functional understanding of renewable energy industry and project finance.
• Prior in-house or law firm experience preferred, especially in renewable energy and infrastructure.
• Experience with various forms of dispute resolution, including litigation, arbitration and mediation.
• Experience identifying legal issues and balancing against business risks in support of overall company goals.
• Experience effectively collaborating with multiple stakeholders.
• Record of completing assigned tasks on time while communicating frequently and appropriately with supervisors to ensure alignment.
• Strong communication skills across company functions.
• JD and current member in good standing of at least one state bar.

The expected starting pay range for this role is outlined below, in addition to a competitive annual bonus and benefits, 401K, etc. This range is an estimate and base pay may be above or below the ranges provided as our individual pay is determined by several factors including, but not limited to, location, experience, education & certifications, as well as performance.

$180,000 - $240,000 USD
