Job summary

Sony Pictures Entertainment seeks a Senior Counsel to join its Distribution Business and Legal Affairs Department in Culver City, California. The attorney will support SPE’s television, non-theatrical, and digital home entertainment distribution businesses, handling a broad range of licensing and business affairs matters.

Qualifications

• J.D. from an accredited law school.
• Active membership in the California State Bar or eligibility to register as in-house counsel in California.
• Seven or more years of relevant experience with a major law firm, studio, television network, streaming service, or other media company.
• Extensive experience drafting and negotiating distribution and licensing agreements.
• Strong negotiating, drafting, analytical, communication, and interpersonal skills.
• Knowledge of TV, streaming, non-theatrical, and digital home entertainment distribution models.

Responsibilities

• Structure, negotiate, and draft distribution agreements for TV, film, FVOD/SVOD/TVOD/EST/FAST and related markets.
• Structure, negotiate, and draft acquisitions of distribution rights from third parties.
• Provide strategic legal and business advice to maximize deal terms while managing risk.
• Interpret rights, territories, license periods, financial terms, marketing obligations, and other terms.
• Conduct legal research on evolving distribution marketplaces.
• Assist with development and maintenance of distribution templates.
• Provide business and legal affairs support on cross-business initiatives.
