Job summary

CoreWeave seeks a Senior Counsel, Commercial to support international expansion transactions, with a focus on EMEA and APAC, and to structure and execute Omni cloud transactions while supporting broader commercial matters in CoreWeave’s infrastructure and SaaS deal pipelines.

You will partner with Legal, Corporate Development, Sales, Product, Finance, Strategy, and Tax in a fast-paced environment, balancing risk with growth and driving scalable contracting processes.

Qualifications

  • J.D. and active U.S. state bar in good standing.
  • 8+ years experience in law firm and/or in-house in a fast-paced tech company.
  • Substantial commercial and complex technology contracting experience: Cloud, AI, SaaS, IaaS, PaaS.
  • Experience with cross-border deal structures; exposure to international transactions is a plus.
  • Strong drafting/negotiation skills and clear written/verbal communication.

Responsibilities

  • Lead day-to-day drafting, negotiation, and execution of term sheets and definitive agreements for EMEA/APAC.
  • Manage live deal pipeline and identify deviations, novel structures, or risks.
  • Draft/close MSAs, order forms, partnership and vendor agreements.
  • Advise leaders on transaction structures and operating models for new markets.
  • Develop and maintain templates, playbooks, and workflows to accelerate repeat deals.

What You’ll Do

The CoreWeave Legal and Government Affairs (LGA) team at CoreWeave is highly collaborative and partners closely with teams across the company to navigate complex legal landscapes while enabling innovation and growth. The team is pragmatic, solutions-oriented, and deeply engaged in strategic decision-making, with a strong emphasis on building trusted relationships across the organization. As Senior Counsel, Commercial, you will support CoreWeave’s international expansion transactions, with a particular focus on EMEA and APAC. You will focus primarily on structuring and executing transactions for Omni, CoreWeave’s cloud-as-a-service delivery model, while also supporting broader commercial matters across CoreWeave’s infrastructure and SaaS deal pipelines as business needs evolve. About The Role

Reporting to the Senior Managing Associate General Counsel, EMEA, you will provide U.S. Eastern Time coverage and partner with cross-functional stakeholders across Legal and Government Affairs, Corporate Development, Sales, Product, Finance, Strategy, and Tax, on some of CoreWeave's most structurally complex international transactions.

In this role, you will
  • Lead day-to-day drafting, negotiation, and execution of term sheets and definitive agreements across active and emerging EMEA and APAC jurisdictions,
  • Manage workflow process and execution status across the live deal pipeline, proactively identifying and escalating deviations, novel structures, or jurisdictional risks.
  • Draft, negotiate, and close MSAs, order forms, partnership agreements, and vendor agreements supporting Omni and adjacent commercial work.
  • Partner cross-functionally to move deals at the pace of the business, while pragmatically managing legal and commercial risk.
  • Advise business leaders, in coordination with the Senior Managing Associate General Counsel, EMEA, on transaction structures and operating models as CoreWeave enters new markets, providing proactive, commercially focused counsel and escalating material or novel issues appropriately.
  • Contribute to and maintain the Omni process, workflows, template and playbook set, so repeat deal structures execute faster over time.
  • Coordinate with outside counsel and internal subject-matter experts on jurisdiction-specific issues arising from Omni transactions, including sovereign and government-adjacent counterparties.
  • Help develop and implement a legal support plan with overseas teammates and outside counsel to ensure seamless and timely support of transactions across stakeholders in multiple time zones.
Who You Are
  • J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar.
  • 8+ years experience gained from a law firm, and/or with in-house experience gained within a fast-paced technology company.
  • Substantial commercial and complex technology contracting experience: Cloud, AI, SaaS, IaaS, PaaS.
  • Experience with complex, high-value, or infrastructure-heavy transactions both within and outside of the US. Direct exposure to cross-border deal structures is a strong plus.
  • Strong drafting and negotiation skills, sound commercial judgment, and clear written and verbal communication.
  • You exercise independent judgment and have excellent attention to detail
  • Comfortable operating at a fast pace with a high degree of independence across multiple jurisdictions and time zones, knowing when to elevate.
  • Experience counseling senior business leaders on business and legal risks
  • Track record of building or improving processes, workflows, templates, and playbooks to scale repeatable deal execution.

The base salary range for this role is $157,000 to $210,000. The starting salary will be determined by job-related knowledge, skills, experience, and the market location. We strive for both market alignment and internal equity when determining compensation. In addition to base salary, our total rewards package includes a discretionary bonus, equity awards, and a comprehensive benefits program (all based on eligibility).
