Elemica, a leading digital supply chain SaaS company, seeks a Senior Counsel to guide commercial, corporate, and regulatory matters in a fast-paced environment.

Reporting to the General Counsel, you will collaborate with Sales, Procurement, Product, Finance, HR, and leadership to support growth while protecting the company’s legal and commercial interests.

Qualifications

  • Juris Doctor from an accredited law school.
  • Active membership in good standing with at least one U.S. state bar.
  • Approximately 3–5 years of relevant legal experience, including law firm and/or in-house counsel.
  • Experience drafting and negotiating commercial contracts.
  • Strong understanding of contract law and corporate law principles.
  • Excellent written and verbal communication skills.
  • Ability to manage multiple priorities in a fast-paced environment.
  • Strong business judgment and pragmatic problem-solving skills.

Responsibilities

  • Draft, review, negotiate, and manage a wide range of commercial agreements.
  • Provide day-to-day legal support to Sales and Customer Success teams.
  • Advise on legal, regulatory, and compliance matters impacting operations.
  • Assist with corporate governance activities, including entity management and board-related matters.
  • Support privacy, data protection, cybersecurity, and information security initiatives.
  • Partner with HR on employment-related matters and compliance.
  • Assist with dispute resolution and outside counsel coordination.
  • Develop templates, playbooks, and contract management improvements.
  • Monitor SaaS, technology, and digital supply chain regulatory developments.
  • Deliver practical legal advice that enables growth while managing risk.

Senior Counsel

Role & Responsibilities

Reporting to the General Counsel, Elemica’s Senior Counsel will provide practical legal guidance across a broad range of commercial, corporate, compliance, and operational matters. The ideal candidate is a collaborative legal professional who can balance legal risk with business objectives in a fast-paced SaaS environment. This position will partner closely with Sales, Procurement, Product, Finance, Human Resources, and Executive Leadership to support the company's growth while protecting its legal and commercial interests.

What You’ll Do
  • Draft, review, negotiate, and manage a wide variety of commercial agreements, including SaaS subscriptions, software licenses, professional services agreements, vendor contracts, NDAs, partnership agreements, and customer-facing contracts
  • Provide day-to-day legal support to Sales and Customer Success teams throughout the contract lifecycle
  • Advise business stakeholders on legal, regulatory, and compliance matters impacting company operations
  • Assist with corporate governance activities, including entity management, board-related matters, and corporate record maintenance
  • Support privacy, data protection, cybersecurity, and information security initiatives, including customer and vendor diligence requests
  • Partner with Human Resources on employment-related matters, policies, and legal compliance
  • Assist with dispute resolution, claims management, and outside counsel coordination when necessary
  • Develop and improve legal processes, templates, playbooks, and contract management practices to increase efficiency and scalability
  • Monitor legal and regulatory developments relevant to SaaS, technology, and digital supply chain industries
  • Deliver practical, business-focused legal advice that enables growth while appropriately managing risk
Basic Qualifications
  • Juris Doctor from an accredited law school
  • Active membership in good standing with at least one U.S. state bar
  • Approximately 3-5 years of relevant legal experience, including law firm and/or in-house counsel experience
  • Experience drafting and negotiating commercial contracts
  • Strong understanding of contract law and general corporate legal principles
  • Excellent written and verbal communication skills
  • Ability to manage multiple priorities and work independently in a fast-paced environment
  • Strong business judgment and pragmatic problem-solving skills
Preferred Qualifications
  • In-house legal experience supporting a SaaS, technology, software, or digital supply chain company
  • Experience with data privacy, information security, and compliance matters
  • Familiarity with software licensing, cloud services, and enterprise customer agreements
  • Experience supporting international business operations
  • LL.M. or additional legal specialization is a plus
