Role Overview

The Assistant General Counsel supports the U.S. Product Strategy & Governance team, providing legal support across Invesco’s investment products. The role involves regular engagement with senior leadership, trustees, directors, and cross‑functional stakeholders to address legal risks in a practical and commercially aligned manner.

Responsibilities

• Provide legal advice on investment products, including publicly listed REITs, ETFs, mutual funds, closed‑end funds, and other pooled vehicles.
• Support product development, structuring, and distribution with expertise in Securities Laws across the Investment Company Act of 1940, the Securities Act of 1933, and the Securities Exchange Act of 1934.
• Advise on securities innovation topics such as capital markets tokenization, stablecoin ecosystem, and digital asset offerings.
• Draft, review, and maintain offering documents, registration statements, and related disclosures, and prepare necessary memoranda for governing bodies in support of product proposals.
• Engage and maintain strong relationships with governing bodies across various product lines.
• Partner with Finance, Compliance, and other stakeholders to support regulatory and disclosure obligations.
• Act as a trusted legal advisor to product and business leaders, contributing to strategic decision‑making.
• Provide practical, solutions‑oriented advice that balances legal risk with commercial priorities.
• Support and lead cross‑functional initiatives as business needs evolve.

Qualifications

• Juris Doctor (JD) and active bar membership required.
• 6–12 years of relevant legal experience in a law firm or in‑house environment.
• Strong experience across Securities Laws disciplines.
• Exposure to governance, disclosure, or board‑related work (beneficial but not required).
• Proven ability to engage effectively with senior stakeholders and contribute to complex decision‑making.
• Strong commercial judgment and ability to translate complex legal issues into practical guidance.
• Excellent written and verbal communication skills with executive presence.

Compensation

Base salary: $220,000 – $235,000 per year. Total compensation includes salary and incentive pay, varying based on skills, experience, and location.

Workplace Model

Minimum of four full days per week required to work in an Invesco office, as of October1,2025.
