gpac LLC. in Minneapolis is seeking a Corporate Securities Attorney for its expanding securities practice. You will join a dynamic team that advises public companies, boards and executives on compliance and disclosure from a national platform.

The role covers drafting and reviewing key filings (10-K/10-Q/8-K), proxy statements, insider trading matters, governance work and listings. Senior associate, counsel or junior partner levels are welcome.

Qualifications

• At least 5 years of public-company securities experience at a law firm.
• Experience with broker-dealers, FINRA, or fund formation is a plus.
• Strong academic record and excellent research, writing and communication skills.
• Candidates at senior associate, counsel and junior partner levels will be considered.

Responsabilités

• Advise public companies on Securities Act and Exchange Act compliance and disclosure.
• Draft and review Forms 10-K, 10-Q and 8-K, plus proxy statements for meetings.
• Prepare Forms 3, 4 and 5; advise insiders on trading plans and short-swing rules.
• Handle corporate governance work, such as board resolutions and policies.
• Work on public and private securities offerings and listing requirements.
